1. PRICES
Prices do not include any taxes or tariffs. When Digital Adventures has the legal obligation to pay or collect any such taxes, the appropriate amount shall be paid by you unless you provide Digital Adventures with a valid reason. You agree to indemnify and hold Digital Adventures harmless for any liability for any tax in connection with the sale of services as well as any penalty or interest.
2. ORDER ACCEPTANCE
Purchase orders are subject to formal acceptance by Digital Adventures. Digital Adventures will use commercially reasonable efforts to confirm or reject any Purchaser order within five (5) business days of receipt by Digital Adventures.
3. ACCEPTANCE OF SERVICES
Acceptance of services shall occur immediately upon completion unless you provide written notification of non-conformity within seven (7) calendar days of completion.
4. CHANGE ORDER AND CANCELLATION
Any and all changes to your Purchase order must be provided by written notice from you. Any change order adding more instructions to the project is subject to acceptance by Digital Adventures.
5. CANCELLATION FOR DEFAULT
Digital Adventures may upon written notice to you, cancel any or all Purchase orders effective immediately if:
5.1 You fail to perform any material obligations and such failure is not remedied within seven (7) calendar days after notice has been given.
5.2 You fail to pay for purchases in accordance with the terms.
6. DURATION
You understand that execution of the Purchase order can take between a month or so due to changes and/or alterations in the project requirements.
